Terms & Conditions

By accessing or using the Lugixa platform (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service. Lugixa Logistics LLC ("Lugixa," "we," "us," or "our") reserves the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

Lugixa provides a cloud-based trucking and logistics management platform that enables companies to manage loads, drivers, trucks, dispatchers, billing, compliance, and related operations. The Service is provided on a subscription basis and is accessible via the internet through a web browser or supported applications. Features and functionality may change over time. We may add, modify, or remove features at any time with or without notice, subject to our obligations under any current subscription agreement.

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Lugixa immediately of any unauthorized use of your account. Lugixa is not liable for any loss resulting from unauthorized use of your account. You may not share your account credentials with others or allow multiple users to access the Service through a single account, except as expressly permitted by your subscription plan.

Lugixa offers multiple subscription tiers with varying features and pricing. By selecting a subscription plan, you authorize Lugixa to charge your payment method on a recurring basis according to the billing cycle of your chosen plan (monthly or annual). All fees are stated in U.S. dollars and are exclusive of applicable taxes. Lugixa reserves the right to change subscription pricing with 30 days' notice. Continued use after the price change takes effect constitutes acceptance of the new pricing. If payment fails, Lugixa may suspend access to the Service after reasonable notice. Outstanding balances are subject to a 1.5% monthly late fee.

All payment transactions are processed through Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. Lugixa does not store full payment card details on its servers. Card information is tokenized and managed securely by Stripe in accordance with PCI-DSS standards. Lugixa is not responsible for errors, failures, or delays in payment processing that are attributable to Stripe or your financial institution.

Lugixa may offer free trial periods or promotional pricing at its sole discretion. Free trials are limited to one per company. At the end of a trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. Lugixa reserves the right to modify or cancel promotions or trials at any time. Promotional pricing cannot be combined with other offers unless explicitly stated.

You may cancel your subscription at any time through Settings → Billing, or by contacting billing@lugixa.com. Cancellations take effect at the end of the current billing period. Lugixa does not provide refunds for partial billing periods, except where required by applicable law. Annual subscription refunds may be considered on a case-by-case basis within 30 days of the initial payment. Contact billing@lugixa.com with your request.

You agree not to use the Service to: • Violate any applicable laws or regulations • Transmit malware, viruses, or other harmful code • Attempt to gain unauthorized access to the Service or its systems • Use automated tools to scrape, crawl, or extract data beyond normal usage • Impersonate any person, company, or entity • Use the Service for any purpose that is fraudulent, abusive, or harmful • Interfere with the availability or performance of the Service for other users Lugixa reserves the right to suspend or terminate accounts that violate these policies without prior notice.

You retain full ownership of all data you submit to the Service ("Customer Data"). Lugixa does not claim ownership over your Customer Data. By using the Service, you grant Lugixa a limited license to store, process, and transmit Customer Data solely to provide and improve the Service. Upon request or account termination, Lugixa will make your Customer Data available for export in a standard format for a period of 90 days. After this period, data may be permanently deleted. Contact support@lugixa.com to request a data export.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

Lugixa will use commercially reasonable efforts to maintain Service availability. However, Lugixa does not guarantee uninterrupted or error-free access. Planned maintenance windows will be communicated in advance when reasonably possible. Lugixa is not liable for any downtime, data loss, or service interruption caused by factors outside its reasonable control, including but not limited to internet outages, third-party service failures, or natural disasters.

All software, content, trademarks, and materials provided through the Service are owned by Lugixa Logistics LLC or its licensors. Nothing in these Terms grants you any rights to use Lugixa's brand, logo, or proprietary technology beyond what is expressly permitted. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service or any portion of it.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUGIXA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LUGIXA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LUGIXA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LUGIXA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.

Lugixa may suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnity, and liability limitations — will survive. You may terminate your account at any time by canceling your subscription and ceasing use of the Service.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms shall be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

Lugixa may revise these Terms at any time. When we make material changes, we will notify you via email or a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
